Terms & Conditions


These Terms & Conditions ("Terms") govern access to and use of the Casali Companies website, including casalicompanies.com, and the Casali Companies Client and Vendor Portal ("Casali Portal"), as applicable.

The Casali Portal is powered by JobTread Software, a third-party project management platform used by Casali Companies ("Casali," "we," "us," or "our") to facilitate project communication, coordination, documentation, proposals, approvals, scheduling, selections, invoicing, bidding, and other project-related activities.

By accessing or using our website or Casali Portal, you agree to comply with these Terms to the extent applicable to your use.

These Terms do not replace, amend, or supersede any separately executed proposal, design services agreement, construction contract, subcontract, purchase order, vendor agreement, or other written agreement between Casali and another party. If there is a conflict between these Terms and a separately executed agreement governing a project or service, the separately executed agreement will control with respect to that subject matter.

  1. Website Use

The Casali website is provided for general informational and business purposes, including providing information about Casali, our services, projects, experience, processes, and means of contacting or submitting inquiries to us.

You may use the website only for lawful purposes.

You agree not to:

  • Attempt to gain unauthorized access to the website, Casali Portal, accounts, servers, or systems;

  • Introduce viruses, malicious code, or other harmful technologies;

  • Interfere with the operation, security, or availability of the website or Portal;

  • Scrape, systematically extract, reproduce, or collect website or Portal content through automated means without authorization;

  • Impersonate another person or misrepresent your identity or authority;

  • Use the website or Portal in violation of applicable law or the rights of another person; or

  • Use Casali's content, trademarks, documents, or materials in an unauthorized manner.

Casali may restrict or block access when reasonably necessary to protect our website, Portal, systems, users, or business interests.

  1. Website Information

Casali makes reasonable efforts to maintain accurate and current information on our website. However, website information is provided for general informational purposes and may not always reflect the most recent project conditions, pricing, laws, regulations, services, availability, or business practices.

Website content does not constitute a project-specific proposal, estimate, contract, warranty, design recommendation, construction instruction, or other professional advice.

No contractual relationship for design, construction, or other professional services is created merely by visiting the website, submitting an inquiry, requesting information, or communicating with Casali.

Services are provided only pursuant to an applicable agreement between Casali and the client or other project participant.

  1. Project Inquiries and Forms

Visitors may submit inquiries, project information, contact information, or other information through forms available on our website or related Casali websites and services.

Submitting a form or inquiry does not guarantee that Casali will accept, evaluate, bid, or perform the proposed project.

Casali may determine whether a prospective project is appropriate for our services and may accept or decline project opportunities at our discretion, subject to applicable law.

Information submitted through forms is handled in accordance with our Privacy Policy.

  1. Casali Portal

The Casali Portal is a project-management and communication environment made available to certain clients, prospective clients, subcontractors, vendors, suppliers, consultants, and other authorized project participants ("Portal Users").

JobTread describes its service as a project-management platform that permits customer interaction with clients, vendors, suppliers, and subcontractors.

The Casali Portal may be used for activities including:

  • Project communications;

  • Proposals and agreements;

  • Drawings and project documents;

  • Change orders;

  • Selections and approvals;

  • Schedules and tasks;

  • Daily logs;

  • Progress photographs and videos;

  • Bid requests and submissions;

  • Invoices and payment information;

  • Electronic signatures and approvals; and

  • Other project-related information.

Portal access is provided only to authorized users and may be limited according to the user's role or involvement in a project.

  1. Portal Accounts and Access

Portal Users are responsible for maintaining the confidentiality and security of their account credentials, authentication methods, and access links.

Users agree to:

  • Use the Portal only for legitimate project or business purposes;

  • Provide accurate information;

  • Maintain the security of their login credentials;

  • Not knowingly allow unauthorized individuals to use their account;

  • Promptly notify Casali if they believe their account or access credentials have been compromised; and

  • Access only information they are authorized to view or use.

Casali may modify, restrict, suspend, or revoke Portal access when reasonably necessary, including upon project completion, termination of a business relationship, security concerns, misuse, or violation of these Terms.

  1. Project Information and Communications

The Casali Portal is intended to improve project communication, transparency, coordination, and record keeping.

Users may receive or access project information including schedules, tasks, documents, selections, photographs, invoices, messages, and other project records.

Users are responsible for reviewing communications and requests relevant to their participation in the project and for providing reasonably timely responses when decisions, selections, approvals, bids, documents, or other information are required.

Delays in providing required information, decisions, selections, approvals, or responses may affect the project schedule.

For urgent or time-sensitive matters, Users should communicate directly with the appropriate Casali representative rather than relying solely on a Portal notification.

  1. Electronic Communications, Approvals, and Signatures

Casali may use electronic communications, approvals, acknowledgments, and signatures in connection with proposals, agreements, change orders, selections, bids, payment authorizations, project documents, and other transactions.

By using these electronic features, Users consent to conducting applicable transactions electronically.

Electronic records and signatures may have the same legal effect as paper records and handwritten signatures to the extent provided by applicable law.

Connecticut law provides that a record, signature, or contract generally may not be denied legal effect solely because it is in electronic form, and an electronic record or signature may satisfy legal requirements for a writing or signature.

Nothing in these Terms changes any additional signature, disclosure, notice, or other requirement imposed by a specific contract or applicable law.

  1. Effect of Portal Documents

The fact that information appears in the Casali Portal does not, by itself, modify an existing contract or create a new contractual obligation.

However, a proposal, agreement, change order, authorization, approval, or other document that is expressly presented for acceptance and validly executed or approved electronically may create a binding obligation according to its terms and applicable law.

Project scope, price, payment obligations, contractual schedules, warranties, and other contractual rights and obligations are governed by the applicable executed agreement and any properly authorized amendments or change orders.

  1. Project Schedules and Status Information

Schedules, milestones, task dates, delivery information, and projected completion dates displayed through the Casali Portal may change as a project progresses.

Construction and design schedules may be affected by circumstances including:

  • Weather;

  • Material availability;

  • Supplier or manufacturer delays;

  • Subcontractor and vendor schedules;

  • Permitting and governmental review;

  • Inspections;

  • Client selections and decisions;

  • Design changes;

  • Existing or concealed conditions;

  • Utility availability;

  • Changes in project scope; and

  • Other circumstances affecting project performance.

Portal schedule information should be read together with the applicable project agreement.

Nothing displayed in the Portal creates a guarantee of a completion or delivery date unless such guarantee is expressly stated in an applicable executed agreement.

  1. Bids and Vendor Proposals

Casali may use the Portal to request and receive bids, proposals, quotations, pricing, qualifications, or other information from subcontractors, vendors, suppliers, and consultants.

Submission of a bid, proposal, price, or other response through the Portal does not by itself constitute:

  • Acceptance of the submission;

  • An award of work;

  • Authorization to begin work;

  • Formation of a subcontract or purchase order; or

  • A guarantee that Casali will purchase goods or services.

Work is considered awarded or authorized only in accordance with the applicable subcontract, purchase order, written authorization, or other agreement issued or accepted by Casali.

Casali may accept, reject, clarify, or negotiate bids and proposals in accordance with applicable law and its project requirements.

  1. User-Submitted Content and Information

Portal Users may upload or provide documents, drawings, photographs, bids, messages, comments, selections, specifications, or other information ("User Content").

Users represent that they have the authority to provide User Content and that doing so does not knowingly violate another person's rights or applicable law.

Users retain any ownership rights they otherwise have in their User Content.

By providing User Content through the Casali Portal, Users authorize Casali and the technology providers used to operate the Portal to store, process, transmit, display, copy, and use that content as reasonably necessary to administer the applicable project, provide services, maintain project records, and operate the Portal.

JobTread's current terms similarly provide for the hosting, processing, transmission, and display of customer data in order to operate and support its service.

  1. Intellectual Property

The Casali Companies name, logos, branding, website content, original text, photographs owned by Casali, project-management templates created by Casali, business documents, proprietary workflows, drawings, designs, renderings, and other materials owned by Casali are protected by applicable intellectual-property laws.

Nothing in these Terms transfers ownership of Casali intellectual property to a website visitor or Portal User.

Project-specific drawings, designs, specifications, photographs, consultant documents, and other materials remain subject to the ownership and usage provisions of the applicable project agreement and the rights of their respective creators.

The underlying JobTread software, platform, interfaces, and related JobTread intellectual property are owned by JobTread or its applicable licensors and are not the intellectual property of Casali. JobTread expressly retains ownership of its service and improvements under its Terms of Service.

Users may not reproduce, distribute, commercially exploit, or reuse protected Casali materials except as authorized by Casali, the applicable project agreement, or applicable law.

  1. Project Photographs and Media

Photographs, videos, daily logs, and other project documentation may be uploaded to or maintained through the Casali Portal for documentation, coordination, progress tracking, quality control, warranty, and other legitimate project purposes.

Any right of Casali to use project photographs, designs, renderings, or completed-work imagery publicly for marketing, portfolio, advertising, social media, awards, or similar purposes will be governed by the applicable agreement, authorization, and our Privacy Policy.

  1. Third-Party Platforms and Services

Casali uses third-party technology and service providers in connection with its website, Portal, communications, payments, analytics, document management, and business operations.

The Casali Portal is powered by JobTread Software.

Third-party platforms and services may be governed by their own terms, privacy policies, and service conditions.

Casali does not control the availability, security practices, functionality, terms, or independent activities of third-party services.

Use of a third-party service may therefore be subject to both these Terms and the applicable third party's terms and policies.

  1. Portal and Website Availability

Casali makes reasonable efforts to maintain access to its website and Portal, but uninterrupted or error-free availability cannot be guaranteed.

Access may occasionally be interrupted due to circumstances including:

  • Maintenance;

  • Software updates;

  • Hosting or network outages;

  • Third-party service interruptions;

  • Internet connectivity problems;

  • Security events;

  • System upgrades; or

  • Circumstances outside Casali's reasonable control.

Casali may modify, suspend, replace, or discontinue website or Portal features from time to time.

Users should maintain copies of important project documents where appropriate and should contact Casali directly when an urgent matter cannot reasonably await restoration of electronic access.

  1. Third-Party Links

Our website, Portal, emails, and project communications may contain links to third-party websites, services, manufacturers, suppliers, payment providers, or other resources.

Links are provided for convenience and do not necessarily constitute an endorsement or guarantee of the third party.

Casali does not control and is not responsible for the independent content, privacy practices, security, availability, products, or services of third-party websites or providers.

  1. Disclaimer of Website and Technology Warranties

To the fullest extent permitted by applicable law, Casali's website and noncontractual Portal functionality are provided on an "as available" basis.

Casali does not warrant that the website or Portal will be uninterrupted, completely error-free, free of all harmful components, or compatible with every device, browser, or system.

This section does not disclaim or modify any warranty, obligation, or standard of performance expressly provided in a separate agreement between Casali and a client or other project participant.

  1. Limitation of Liability

To the fullest extent permitted by applicable law, Casali will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages arising solely from the use or inability to use the website or Portal.

Casali is not responsible for losses caused solely by:

  • Internet or telecommunications failures;

  • Third-party software outages;

  • Unauthorized use resulting from a User's failure to reasonably protect account credentials;

  • Reliance on preliminary, outdated, or noncontractual Portal information contrary to an applicable executed agreement; or

  • Circumstances outside Casali's reasonable control.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

Nothing in this section modifies liability provisions contained in an applicable design, construction, subcontract, vendor, or other separately executed agreement.

  1. Privacy and Cookies

Use of Casali's website and Portal may involve the collection and processing of information as described in our Privacy Policy.

Use of cookies and similar technologies on our websites is described in our Cookie Policy.

Third-party services, including JobTread, may also maintain their own privacy policies governing their independent processing activities.

  1. Suspension or Termination of Access

Casali may suspend, restrict, or terminate website or Portal access when reasonably necessary due to:

  • Unauthorized use;

  • Security concerns;

  • Violation of these Terms;

  • Termination or completion of the applicable project or business relationship;

  • Legal or regulatory requirements; or

  • Discontinuation or modification of the applicable service.

Termination of Portal access does not terminate, modify, or eliminate contractual obligations existing under a separate agreement.

  1. Changes to These Terms

Casali may update these Terms periodically to reflect changes in our website, Portal, technology, business practices, or applicable legal requirements.

The Last Updated date at the top of these Terms will identify the most recent revision.

Where appropriate or required by applicable law, Casali may provide additional notice of material changes.

Changes to these website and Portal Terms do not retroactively amend a separately executed project agreement.

  1. Governing Law

These Terms are governed by the laws of the State of Connecticut, without regard to principles concerning conflicts of law.

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will continue in effect to the extent permitted by law.
