1. Overview
The Casali Companies Client and Vendor Portal (“Portal”) is a private, invitation-only online platform provided by Casali Companies to support communication, project coordination, document sharing, bid requests, selections management, scheduling updates, and other project-related information associated with active construction projects.
Access to the Portal may be provided to clients, subcontractors, vendors, suppliers, consultants, and other authorized project participants (collectively referred to as “Users”).
Access to the Portal is provided solely for the convenience of Users and project participants. The Portal serves as a communication and information management tool but does not replace formal contracts, written agreements, or legally binding construction documents unless explicitly stated in writing.
Casali Companies reserves the right to modify, suspend, restrict, or discontinue Portal access or functionality at any time.
2. Portal Use & Access
Access to the Portal is granted solely at the discretion of Casali Companies.
By accessing the Portal, Users agree that they will:
• Use the Portal only for project-related purposes
• Maintain the confidentiality of their login credentials, access links, or authentication methods
• Not share Portal access with unauthorized individuals
• Not copy, distribute, reproduce, or reuse Portal content without permission from Casali Companies
Casali Companies reserves the right to modify, restrict, suspend, or revoke Portal access at any time, with or without notice.
3. Informational Purpose Only
The Portal is intended to support project transparency and organization by allowing authorized Users to:
• Review project updates and communications
• Track project milestones, schedules, and tasks
• Review documents such as estimates, bid requests, change orders, invoices, and project files
• Submit selections, bids, approvals, or other project-related responses when applicable
• Access progress photos and project documentation
While Casali Companies makes reasonable efforts to maintain accurate information within the Portal, the Portal should be considered a supplemental information tool.
Official project terms, scope, pricing, contractual obligations, and vendor agreements remain governed by signed agreements between Casali Companies and the applicable project participant.
4. No Guarantees
Project timelines, task statuses, material availability, milestone estimates, and other scheduling information displayed within the Portal are provided for general informational purposes only.
Construction projects are dynamic and subject to change due to factors including but not limited to:
• Weather conditions
• Material availability
• Vendor or subcontractor schedules
• Permit approvals
• Site conditions
• Design changes or client selections
Casali Companies does not guarantee completion dates, delivery timelines, or schedule projections displayed within the Portal.
5. Digital Approvals & Electronic Signatures
Casali Companies may utilize digital approvals and electronic signatures through the Portal or related systems for documents including but not limited to:
• Proposals
• Change orders
• Bid submissions
• Selection approvals
• Payment authorizations
• Project documents
By using the Portal, Users acknowledge that electronic approvals and signatures may carry the same legal effect as handwritten signatures, unless otherwise required by applicable law or specific contract provisions.
6. User Responsibilities
Users agree to:
• Review Portal communications, documents, and updates in a timely manner
• Provide accurate and complete information when submitting bids, selections, approvals, or project documentation
• Respond to requests for information or decisions within reasonable timeframes when participation in the project requires it
Delays in responses, selections, approvals, or vendor submissions may impact project schedules. Casali Companies is not responsible for schedule delays caused by delayed responses from project participants.
7. Portal Availability
Casali Companies makes reasonable efforts to maintain the availability of the Portal; however, uninterrupted access cannot be guaranteed.
Temporary service interruptions may occur due to:
• Software updates or maintenance
• Third-party service disruptions
• Internet connectivity issues
• System upgrades
Users should contact Casali Companies directly for urgent project matters rather than relying solely on Portal communication.
8. Intellectual Property
All Portal structure, workflows, templates, documentation systems, and project management processes are the intellectual property of Casali Companies.
Portal content may not be copied, reproduced, distributed, or reused without written permission from Casali Companies.
Project documents provided to Users remain subject to applicable ownership and usage rights as defined in the applicable construction agreement, subcontract agreement, vendor agreement, or other written contract.
9. Limitation of Liability
Casali Companies shall not be liable for:
• Delays caused by delayed responses or decisions from project participants
• Third-party vendor or supplier delays
• Material shortages or product availability changes
• Technical outages, data synchronization issues, or software disruptions
• Reliance on Portal information without confirmation through formal project agreements
Use of the Portal is at the User’s discretion and risk.
10. Governing Law
These Terms & Conditions shall be governed by and interpreted in accordance with the laws of the State of Connecticut, without regard to conflict of law principles.
11. Acceptance
By accessing or using the Casali Companies Portal, Users acknowledge that they have read, understood, and agree to these Terms & Conditions.
These Terms & Conditions may be updated periodically. Continued use of the Portal constitutes acceptance of any revisions.
12. Bid Submissions & Vendor Proposals
Bid requests and proposal submissions made through the Portal are provided for informational and evaluation purposes only.
Submission of a bid, proposal, or pricing through the Portal does not constitute acceptance of the proposal, award of work, or formation of a contract.
Work is only considered awarded when a subcontract agreement, purchase order, written authorization, or other formal agreement has been issued by Casali Companies.
Casali Companies reserves the right to accept, reject, or negotiate any bid or proposal at its sole discretion.
